1. Introduction and Acceptance of Terms
Welcome to Lyseis.in, operated by Lyseis Consulting LLP ("Lyseis", "we", "us", or "our"). By accessing or using our website at https://Lyseis.in/and any related mobile applications, APIs, or digital services (collectively, the "Platform"), you agree to be legally bound by these Terms of Use ("Terms"), our Privacy Policy, and any other policies incorporated herein by reference.
If you do not agree with any part of these Terms, you must immediately discontinue access to and use of the Platform. Your continued use of the Platform following any updates constitutes your acceptance of the revised Terms.
These Terms constitute a legally binding agreement between you and Lyseis Consulting LLP, Lyseis Consulting LLP, an Indian LLP entity (LLPIN: ACI-1437), registered under the Limited Liability Partnership Act, 2008. These Terms are governed by the laws of India, specifically the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 (DPDPA), and associated rules and regulations.
2. Definitions
Throughout these Terms, the following defined terms apply:
"Platform": means the Lyseis.in website, mobile application, APIs, and any related digital services operated by Lyseis Consulting LLP.
"User" / "You": means any individual or entity that accesses or uses the Platform, including Clients, Service Providers, Freelancers, Visitors, and Account Holders.
"Client": means a User who engages the Platform to seek, post, or procure professional services from Service Providers or Freelancers.
"Service Provider" / "Freelancer": means a User who registers on the Platform to offer professional services to Clients.
"Content": means any text, data, information, images, files, feedback, reviews, or other materials submitted, uploaded, or transmitted through the Platform.
"Intellectual Property": means all patents, trademarks, trade names, service marks, copyrights, trade secrets, know-how, and any other proprietary rights.
"Project": means any engagement or contract facilitated through the Platform between a Client and a Service Provider.
"Platform Fee": means the service charge levied by Lyseis Consulting LLP on transactions processed through the Platform, as specified in the Fee Schedule.
"Dispute": means any disagreement between a Client and a Service Provider regarding a Project, deliverable, payment, or related matter.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To access and use the Platform, you must: (a) be at least 18 years of age or the applicable age of majority in your jurisdiction; (b) have the legal capacity to enter into binding contracts; (c) not be prohibited from using the Platform under the laws of your jurisdiction; and (d) provide accurate, current, and complete information during registration.
The Platform is not directed to individuals under 18 years of age. We do not knowingly permit minors to register or use the Platform. If we discover that a minor has created an account, we reserve the right to immediately suspend and delete that account.
3.2 Account Registration
To access most features of the Platform, you must register for an account. You agree to: (a) provide truthful, accurate, and complete registration information; (b) promptly update your account information to keep it accurate and current; (c) maintain the confidentiality of your account credentials and not share your password with any third party; (d) notify us immediately at kiran@lyseis.inof any suspected unauthorized access to or use of your account; and (e) accept responsibility for all activities that occur under your account.
Lyseis Consulting LLP reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including where it suspects fraudulent, abusive, or unlawful activity.
3.3 Account Verification
We may require identity verification before activating certain features of your account, particularly for Service Providers and for financial transactions. Failure to complete verification may limit or suspend your access to Platform features.
4. Use License and Permitted Use
4.1 License Grant
Subject to your compliance with these Terms, Lyseis Consulting LLP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended marketplace purposes. This is a license to use the Platform, not a transfer of any ownership or title.
4.2 Restrictions on Use
You may not, and may not permit others to:
Copy, modify, distribute, sell, or sublicense any part of the Platform or its underlying software, except as expressly permitted in writing by Lyseis Consulting LLP;
Use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose;
Attempt to gain unauthorized access to the Platform, its servers, or any related network or system;
Scrape, crawl, index, or systematically extract data from the Platform using automated means without prior written consent;
Circumvent, disable, or otherwise interfere with security-related features of the Platform, including features that prevent or restrict use or copying of any Content;
Use the Platform to transmit spam, unsolicited communications, malware, or any other harmful or malicious code;
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
Engage in any activity that interferes with or disrupts the Platform or servers or networks connected to the Platform;
Remove any copyright, trademark, or other proprietary rights notices from the Platform or any Content;
Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of any software component of the Platform.
4.3 Paid Dataset License
Upon purchase of paid datasets from Lyseis, the Customer shall receive a separate license agreement governing the use of such datasets. The license granted for paid datasets may be either exclusive or non-exclusive as mutually agreed upon in writing between the Customer and Lyseis Consulting LLP's authorized representative during the purchase negotiation process.
The terms and conditions of dataset usage including but not limited to permitted use cases, distribution rights, modification rights, territorial limitations, term duration, and any restrictions on sublicensing or transfer shall be specifically defined in the executed dataset license agreement. Such agreement shall take precedence over these Terms with respect to the purchased datasets.
Any unauthorized use of paid datasets outside the scope of the executed license agreement shall constitute a material breach and may result in immediate termination of all licenses and legal action for damages and injunctive relief.
5. Platform Services and Marketplace Rules
5.1 Nature of the Platform
Lyseis.in operates as an online marketplace that connects Clients seeking professional services with Service Providers and Freelancers. Lyseis Consulting LLP is a marketplace intermediary and is not a party to any contract between Clients and Service Providers. Lyseis Consulting LLP does not guarantee the quality, accuracy, timeliness, or legality of services offered or deliverables provided through the Platform.
5.2 Client Responsibilities
As a Client, you agree to:
Provide clear, accurate, and complete project briefs and requirements;
Respond promptly to communications from Service Providers and the Platform;
Make timely payments through the Platform's designated payment mechanism;
Review and provide feedback on deliverables in good faith within agreed timelines;
Not solicit Service Providers to work outside the Platform in order to circumvent Platform Fees;
Comply with all applicable laws when procuring services, including export control and data protection laws.
5.3 Service Provider Responsibilities
As a Service Provider or Freelancer, you agree to:
Provide services with professional skill, care, and diligence;
Accurately represent your skills, experience, qualifications, and availability;
Deliver work that is original, does not infringe any third-party intellectual property rights, and complies with the agreed project specifications;
Maintain the confidentiality of Client information and project details as appropriate;
Complete tax and identity verification requirements as requested by the Platform;
Not engage with Clients outside the Platform for projects sourced through the Platform, except as explicitly permitted in writing.
5.4 Prohibited Conduct
All Users are prohibited from using the Platform to:
Post false, misleading, or inaccurate information about themselves, their services, or their projects;
Engage in bribery, corruption, or any form of fraudulent transaction;
Harass, threaten, or abuse other Users;
Upload or transmit Content that is defamatory, obscene, hateful, or otherwise objectionable;
Violate any applicable law, regulation, or third-party right.
6. Payments, Fees, and Taxes
6.1 Platform Fees
Lyseis Consulting LLP charges Platform Fees for facilitating transactions between Clients and Service Providers. The applicable fees are described in the Fee Schedule accessible from the Platform. Lyseis Consulting LLP reserves the right to modify the Fee Schedule with notice to Users as set out in Section 13.
6.2 Payment Processing
All payments must be made through the Platform's designated payment gateway. Lyseis Consulting LLP uses PCI-DSS compliant third-party payment processors. By using the Platform, you authorize Lyseis Consulting LLP and its payment processors to charge your designated payment method for applicable fees and transactions. Lyseis Consulting LLP does not store full payment card numbers on its systems.
6.3 Escrow and Release
Client payments for Projects may be held in escrow by the Platform until the Client approves the deliverable or a Dispute is resolved. Funds are released to the Service Provider upon Client approval or pursuant to Dispute Resolution procedures in Section 10. Escrow release timelines are specified in the Platform's Help Centre.
6.4 Refunds
Refund eligibility is determined on a case-by-case basis in accordance with the Platform's Refund Policy, which is incorporated herein by reference. Platform Fees are generally non-refundable except where required by applicable law or as specifically provided in the Refund Policy.
6.5 Taxes
Each User is solely responsible for determining and fulfilling all tax obligations arising from their use of the Platform, including income tax, withholding tax, GST, VAT, and any other applicable taxes. Lyseis Consulting LLP may collect tax identification information (PAN/TAN (India), GST numbers) and issue applicable tax forms as required by law. Users provide accurate tax information and indemnify Lyseis Consulting LLP for any tax-related liabilities arising from inaccurate information.
7. Intellectual Property Rights
7.1 Platform Intellectual Property
The Platform and all of its original content, features, and functionality, including but not limited to software, text, graphics, logos, icons, images, audio, video, data compilations, and the selection and arrangement thereof, are owned by Lyseis Consulting LLP or its licensors and are protected by applicable copyright, trademark, patent, and other Intellectual Property laws.
You are not permitted to use any Lyseis trademarks, logos, or service marks without prior written consent from Lyseis Consulting LLP.
7.2 User Content
You retain ownership of Content you submit to the Platform. By submitting Content, you grant Lyseis Consulting LLP a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, store, process, display, and distribute your Content solely for the purposes of operating and improving the Platform. This license terminates when your Content is deleted from the Platform, subject to backup and legal retention obligations.
You represent and warrant that: (a) you own or have the necessary rights and permissions to submit your Content; (b) your Content does not infringe any third-party Intellectual Property rights; and (c) your Content does not violate any applicable law.
7.3 Project Deliverable Ownership
Unless otherwise agreed in the executed project contract between the Client and Service Provider, and subject to full payment: upon completion of a Project and full payment of all fees, the intellectual property rights in the specific deliverables created by the Service Provider for the Client shall transfer to the Client. Service Providers retain the right to use generalized skills, knowledge, and pre-existing materials (not custom-developed for the Client) in future projects. Parties are encouraged to specify IP ownership terms explicitly in their project agreements.
8. Confidentiality
Users who receive confidential information from other Users through the Platform, including but not limited to business plans, financial data, technical specifications, and trade secrets , agree to: (a) hold such information in strict confidence; (b) not disclose it to any third party without prior written consent; and (c) use it only for the purpose of fulfilling the relevant Project.
This obligation does not apply to information that: (i) is or becomes publicly available through no breach of this obligation; (ii) was already known to the recipient prior to disclosure; (iii) is independently developed without reference to the confidential information; or (iv) is required to be disclosed by law or court order, provided the disclosing party gives prior written notice where legally permissible.
9. Data Protection and Privacy
Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference and available at https://Lyseis.in/, governs our collection, use, and sharing of your personal data. By using the Platform, you agree to the processing of your personal data as described in the Privacy Policy.
Where you upload personal data of third parties (such as end-user data in a project brief), you warrant that you have the legal authority to share such data and that your own privacy disclosures comply with applicable data protection laws. You agree to indemnify Lyseis Consulting LLP for any claims arising from your unauthorized sharing of third-party personal data.
10. Dispute Resolution
Lyseis Consulting LLP provides a structured dispute resolution process for disagreements between Clients and Service Providers regarding Projects. Either party may initiate a Dispute through the Platform's Dispute Centre. Upon initiation, both parties will have a specified window (as detailed in the Platform Help Centre) to submit evidence and positions. Lyseis Consulting LLP will review submissions and render a decision regarding escrow release or refund, which shall be final and binding on the parties for Platform-related matters.
If you have a complaint or dispute with Lyseis Consulting LLP, you must first contact our support team at kiran@lyseis.inand allow us 30 days to attempt resolution. If unresolved, disputes shall be escalated in accordance with Section 14 (Governing Law and Jurisdiction).
10.3 Grievance Officer (India, IT Act 2000 / DPDPA 2023)

The Grievance Officer is available during business hours, Monday through Friday (excluding Indian public holidays). Complaints will be acknowledged within 24 hours and resolved within 15 days of receipt, as required under applicable Indian law.
11. Disclaimers and Warranties
11.1 Platform Provided 'As Is'
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LYSEIS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2 No Guarantee of Results
Lyseis Consulting LLP does not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) any defects or errors will be corrected; (c) the Platform is free of viruses or other harmful components; or (d) any specific outcomes or results will be achieved through use of the Platform. You use the Platform at your own risk.
11.3 Third-Party Content and Links
The Platform may contain links to third-party websites or services. Lyseis Consulting LLP has no control over and assumes no responsibility for the content, privacy policies, or practices of third-party websites. Inclusion of any link does not imply endorsement by Lyseis Consulting LLP.
11.4 User-Generated Content
Lyseis Consulting LLP does not endorse, control, or guarantee the accuracy, integrity, or quality of User-submitted Content, including profiles, reviews, and project information. You access and rely on User-generated Content at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LYSEIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, LYSEIS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FEES PAID BY YOU TO LYSEIS IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100) OR THE LOCAL CURRENCY EQUIVALENT.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
13. Modifications to Terms and Platform
Lyseis Consulting LLP reserves the right to modify these Terms at any time. When material changes are made, we will: (a) post the updated Terms on the Platform with a revised "Last Updated" date; (b) notify registered Users via email or in-app notification at least 30 days prior to the effective date for material changes (14 days for non-material changes); and (c) where required by applicable law, obtain fresh consent.
Your continued use of the Platform after the effective date of any amendment constitutes acceptance of the updated Terms. If you disagree with any changes, you must stop using the Platform and may request deletion of your account.
Lyseis Consulting LLP may modify, suspend, or discontinue any feature of the Platform at any time without liability, subject to providing reasonable notice where practicable.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, specifically the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 (DPDPA), and associated rules and regulations, without regard to conflict of law principles.
You irrevocably submit to the exclusive jurisdiction of courts of competent jurisdiction in Hyderabad, Telangana, India for resolution of all disputes arising out of or relating to these Terms or the Platform. Nothing in this section limits your right to file a complaint with a relevant regulatory or supervisory authority.
Indian Users retain the right to file complaints with the Data Protection Board of India (DPBI) for matters arising under the DPDPA 2023.
15. Termination
Either you or Lyseis Consulting LLP may terminate your account and access to the Platform at any time. You may close your account by submitting a request through Account Settings or by contacting kiran@lyseis.in.
Lyseis Consulting LLP may suspend or terminate your account immediately, without prior notice or liability, if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) your conduct creates legal risk, reputational harm, or financial exposure for Lyseis Consulting LLP or other Users; or (d) we decide to discontinue the Platform.
Upon termination: (i) your license to use the Platform ceases immediately; (ii) all outstanding payments due from you become immediately payable; (iii) provisions of these Terms that by their nature should survive termination, including intellectual property, confidentiality, limitation of liability, governing law, and dispute resolution, shall continue in full force and effect; and (iv) we may retain your data in accordance with our Privacy Policy and applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Lyseis Consulting LLP and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property rights, privacy rights, or contractual rights; (d) your Content; or (e) your breach of any applicable law.
17. Service Provider and Freelancer Specific Terms
If you register on the Platform as a Service Provider, Freelancer, or Independent Contractor, the following additional terms apply in addition to all other provisions of these Terms:
You represent that you have the skills, experience, licenses, and qualifications to perform the services you offer on the Platform;
You are an independent contractor and not an employee, partner, or agent of Lyseis Consulting LLP;
You are solely responsible for your own tax obligations, including income tax, self-employment tax, and any applicable VAT or GST on your services;
You must complete W-9/W-8BEN forms (as applicable) and PAN/TAN for Indian tax compliance;
You must not accept payment for Platform-sourced projects outside the Platform's payment system during the term of an active project agreement;
You must promptly disclose any conflict of interest or other issue that may affect your ability to deliver services impartially;
You acknowledge that reviews and ratings on your profile are part of the Platform's integrity system and cannot be removed except for violations of the Review Policy.
18. Client and Business User Specific Terms
If you use the Platform as a Client or to procure services from Service Providers, the following additional terms apply:
You are responsible for ensuring that any project brief, specification, or data you upload does not violate any third-party intellectual property right, data protection obligation, or applicable law;
You may not solicit or engage Service Providers identified through the Platform to work directly outside the Platform on projects that originated through the Platform for a period of 12 months from the date of initial contact on the Platform, without payment of a re-engagement fee as specified in the Fee Schedule;
Business account administrators are responsible for ensuring that all sub-users on the business account comply with these Terms;
Payment obligations for projects are the sole responsibility of the contracting Client entity.
19. Force Majeure
Lyseis Consulting LLP shall not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, cyberattacks, internet outages, or failure of third-party service providers. Lyseis Consulting LLP will use commercially reasonable efforts to notify affected Users and resume normal operations as promptly as possible.
20. Severability, Waiver, and Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.
No failure or delay by Lyseis Consulting LLP in exercising any right under these Terms shall constitute a waiver of that right. A waiver in one instance does not constitute a waiver in future instances.
These Terms, together with the Privacy Policy, Cookie Policy, Fee Schedule, and any other policies expressly incorporated herein, constitute the entire agreement between you and Lyseis Consulting LLP with respect to the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
